MicroSelfStorage Storage Rental Agreement

1. Introduction to MicroSelfStorage Terms and Conditions

This document outlines the essential terms and conditions governing the rental of storage units from MicroSelfStorage, detailing the rights and obligations of both the Lessor (MicroSelfStorage) and the Lessee (the client). The foundation of this agreement is rooted in a formal contractual understanding, establishing a clear framework for the storage service.

1.1. Purpose and Scope of the Agreement

The core objective of these Terms and Conditions (T&Cs) is to formalize the lease agreement for storage units, ensuring a transparent and legally binding relationship between MicroSelfStorage and its clients. By proceeding with a rental, you acknowledge and agree to these terms. For online platforms, your active acceptance (e.g., by clicking “I Agree” during the booking process) signifies your understanding and consent to these terms, making them legally binding.

2. Core Terms and Conditions for Storage Unit Rental

This section details the substantive provisions of the storage agreement, covering commercial and operational aspects. Each point outlines specific responsibilities and expectations for both MicroSelfStorage (Lessor) and you, the client (Lessee).

2.1. Agreement Parties and Rental Unit Details

The agreement formally designates MicroSelfStorage as the “Lessor” and you, the individual renting the unit, as the “Lessee.” The facility is “MicroSelfStorage, Sosua,” located at “Carretera Principal, KM4. Plaza HVB, 2. Republica Dominicana.” Each rental involves a specific “Storage Unit No.” and its “approximate dimensions.”

Please note: Units may vary a few centimeters from stated dimensions. The specific unit number and its precise dimensions will be confirmed at the time of booking or upon final agreement.

2.2. Lease Term and Renewal Provisions

The lease agreement operates on either a “month to month or yearly basis,” commencing on a specified date and remaining in full effect unless terminated or revised by either party. Upon the termination of a yearly contract, the agreement automatically converts to a “month to month” basis. At this juncture, prices can change with a 30-day notice.

This structure allows us to offer competitive rates for initial yearly commitments. The transition to a month-to-month basis with a 30-day notice for price adjustments provides flexibility to adapt to market conditions.

2.3. Payment Terms, Fees, and Default Procedures

A monthly rental fee, stated in USD, is due on the date of reservation each month. Payments can be made in USD or local Dominican currency (DOP) at the official exchange rate of the payment date. Accepted methods: PayPal, Cash, or Bank transfer to our Banco Santa Cruz or Banco Popular accounts (details provided upon booking).

Default Timeline & Consequences:

  1. Due Date: Invoice sent. Payment due.
  2. 10 Days Past Due: 10% late fee applied. MicroSelfStorage lock placed on unit. Keypad code frozen. Access temporarily denied.
  3. 30 Days Past Due (no payment/contact): Another 10% late fee applied. Continued denial of access.
  4. 60 Days Past Due (or breach of terms): Lessee in default. Access to facility denied. New lock placed by Lessor. Public auction process begins. Loss of rights to unit and contents. Partial payments do not restore good standing.

Reminder invoices are sent on day 0 (due date), 3, 7, 10, and 15 after the due date. It is crucial to maintain updated contact information with us.

Partial payments do not waive or avoid the legal effect of prior notices. Only full payment of all outstanding fees can restore good standing.

2.4. Permitted and Prohibited Use of Storage Units

Units are for personal storage purposes only. Not for dwelling, business, or anything other than storing personal property. Subletting is prohibited. Storing items outside the unit is prohibited. Illegal activities and items are prohibited at all times.

2.5. Lessee’s Responsibilities and Unit Maintenance

  • Keep the unit clean and well-kept at all times.
  • Upon termination, vacate, empty, clean, and return the unit in good condition within 24 hours. Any property remaining shall become property of the Lessor.
  • Solely responsible for ensuring the unit is securely locked at all times and for the property stored within.
  • Keep us updated about any address, phone, or email changes. Notify us in writing (via email or message on file) for such updates or to make an office appointment.

2.6. Lessor’s Security Measures and Limitations of Liability

MicroSelfStorage implements security measures including:

  • On-site personnel (Mon-Sat, 9AM-5PM).
  • Comprehensive security system (HD cameras, alarm).
  • Double doors locking premises after hours.
  • Automated door lock with personalized keypad access.
  • Nightly security patrols (outside building).
  • Monthly fumigation.
  • Facility reinforced for hurricane-force winds, comprehensive drainage, ventilation.

Important Limitations:

  • No security is provided for your individual unit beyond general facility measures. All property stored is under your sole liability.
  • MicroSelfStorage is not responsible for any loss or damages from storage.
  • MicroSelfStorage does not provide insurance. Obtaining insurance is your sole responsibility.
  • The building is NOT climate controlled. We do not provide heat, cooling, or humidity control.
  • All personal property is stored at your sole risk. Lessor is not liable for loss/damage due to: natural disasters (hurricanes, floods, etc.), mildew/mold, rodents/insects, explosions, burglary, criminal mischief, civil unrest, vandalism, power outages, equipment failure, or Acts of God.

While reasonable measures are taken to harden the facility, total protection cannot be guaranteed as weather is unpredictable.

2.7. Rules and Regulations for Facility Access and Conduct

  • Access hours: 9AM – 5PM, Monday – Saturday.
  • Office hours: 9AM – 3PM, Monday – Friday.
  • One lock per unit. Units must be locked at all times.
  • Littering is prohibited (Penalty: 100.00 USD).
  • To grant access to another person: Provide Lessor with a clear copy of their government-issued ID. Lessor will record details and share personalized keypad access code.
  • You (Lessee) are responsible for the security of your access code.
  • Personal data is kept private as per Dominican Law 172-13.

2.8. Damages and Indemnification

You are solely responsible for any damages to the rented unit beyond normal wear and tear. Should such damage be discovered, you agree to pay for damages prior to retrieving your property.

You agree to indemnify, defend, and hold harmless the Lessor from all demands, claims, actions, or causes of action (including attorney’s fees and related costs) brought by others arising out of your use of the storage unit and common areas.

2.9. Termination of Agreement

Either party may request to terminate this agreement with 5-10 days’ prior written notice (via email on file or message to the office).

The Lessor (MicroSelfStorage) reserves the right to terminate this agreement immediately for Lessee’s breach of any provision herein.

3. General Legal Provisions

This section covers the overarching legal framework governing the entire agreement, ensuring its stability, enforceability, and compliance with relevant laws.

3.1. Amendment and Severability

This agreement can only be altered by a written amendment signed by both parties, requiring mutual consent (e.g., for changes to rent, rules, services). This does not apply to price changes on month-to-month contracts after a yearly term, which follow a 30-day notice period.

If any part of this agreement is deemed unenforceable, illegal, or unfair by a court, it shall be replaced by an acceptable article achieving the same basic goal. All remaining terms and conditions will remain in full effect.

3.2. Governing Law (Dominican Republic)

This agreement shall be governed by and construed in accordance with the laws of the Dominican Republic. Lessee is subject to the jurisdiction of Sosua Court.

Both parties agree to seek mediation prior to any legal proceedings.

3.3. Data Privacy and Contact Information

The Lessor will keep all customer data safe and secure, according to Dominican Law No. 172-13. Upon signing, personal data will be added to our online booking system for record-keeping and booking confirmation.

Official communications will use contact information provided, unless changed in writing by the Lessee.

3.4. Entire Agreement Clause

This agreement constitutes the entire agreement between the parties and supersedes all prior agreements, discussions, or promises not explicitly included herein.
